Overview

Digital Tokenization of a Convertible Note, with a minimum 10% equity interest in the Client and a maximum 33% equity interest in the Client Company, calculated based upon a pre-money valuation of $33,000,000 (the “Offering”).

The “Tokens” issued to investors (the “Investors”) will be partially secured by a 100% of all assets of the Client including contracts and purchase orders (the “Collateral".

The security interest on the Collateral will be removed, immediately upon the earlier of (i) Client achieving 12 months trailing gross revenue of $2,500,000, or (ii) Client closing on another capital raise generating at least $20,000,000 in gross proceeds. The tokenization will also have dividends reserved at an annual 9.50% interest for the first 18 months. The Parties agree that 18 months of interest will be reserved out of the actual amount of proceeds raised in the Offering (i.e., assuming $11,000,000 is raised, $1,567,500 in Interest will be set aside in an escrow account maintained by the Issuing Company with proceeds to be used solely for the payment of such interest).

AG Marvels LLC is a hemp and CBD company located in central Michigan, providing a variety of products and services to the hemp, and CBD industry. Our offerings range from bulk hemp and specialized CBD sales through services and seeds provided to growers in order to improve their operations. The opening of global regulations and the astronomical rise in demand for hemp and cannabis products has put our company in the position of having large bulk orders from both US-based and international customers and as a result, we are looking to increase our capacity and take ownership of a production and office facility. We have purchase agreements in place with customers from 10 different countries, growing capacity to fulfill the orders and are in the process of building out the processing facility. However, despite the increasing legitimacy and proven benefits of CBD, and hemp products, companies in the cannabis and hemp industry are facing exploitive rents and interest rates.

AG Marvels was established in 2018 when hemp production was legalized in Michigan. AG Marvels is the market leader in the state of Michigan, offering complete seed to sale services and resources for Michigan Hemp producers to become highly effective with their success in this new crop industry in the state. The passing of the 2018 Farm Bill allowing farmers to legally grow hemp for the cannabis industry. Partnering with growers statewide has allowed the company to ensure supply of raw materials at a high quality, as well as improving the business capacity and profitability of those partners.
